• Have an active social media presence on platforms such as Instagram, TikTok, YouTube, or similar platforms.

3. Account Registration

To access certain features of our Services, you must complete our application process and be accepted into the Collab Crew network. When applying, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your information;
• Maintain the security of your account credentials;
• Accept responsibility for all activities under your account;
• Notify us immediately of any unauthorized use of your account.

We reserve the right to reject any application or terminate any account at our sole discretion.

4. Creator Obligations

As a creator in the Collab Crew network, you agree to:

• Create original, authentic content that complies with brand guidelines and campaign requirements;
• Disclose sponsored content in accordance with FTC guidelines and applicable advertising laws;
• Meet agreed-upon deadlines for content delivery;
• Maintain professional communication with brands and our team;
• Not engage in fraudulent activities, including fake followers or engagement;
• Comply with all applicable laws, regulations, and platform terms of service.

5. Brand Partnerships & Payments

Partnership Matching: We connect creators with brand opportunities based on various factors including audience demographics, content style, and campaign requirements. Acceptance into our network does not guarantee any specific number of brand partnerships.

Payment Terms: Upon successful completion and brand approval of your content:

• Payment will be processed within 7 days of content approval;
• You retain 100% of the agreed-upon compensation—we do not take commission;
• Payments are made via your selected payment method (PayPal, direct bank transfer, Wise, or Stripe);
• You are responsible for all applicable taxes on your earnings.

Cancellations: If a brand cancels a campaign after you have begun work, we will work to ensure you receive fair compensation for completed work.

6. Intellectual Property

Your Content: You retain ownership of all content you create. By participating in brand campaigns through our platform, you grant the applicable brand a license to use your content as specified in each campaign's terms.

Our Platform: All intellectual property rights in our Services, including our website, logo, trademarks, and proprietary technology, are owned by Collab Crew. You may not use our intellectual property without our prior written consent.

7. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations;
• Infringe upon the rights of others;
• Submit false or misleading information;
• Engage in fraudulent activities, including purchasing fake followers or engagement;
• Harass, abuse, or harm others;
• Interfere with or disrupt our Services;
• Attempt to gain unauthorized access to our systems;
• Use our Services for any illegal or unauthorized purpose;
• Circumvent any access restrictions or security measures.

8. Termination

By You: You may terminate your account at any time by contacting us. Termination does not affect obligations already incurred, including pending payments or active campaigns.

By Us: We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms;
• Fraudulent or illegal activity;
• Conduct harmful to brands, other creators, or our reputation;
• Extended inactivity;
• Request by law enforcement or government agencies.

9. Disclaimers & Limitation of Liability

Disclaimer of Warranties: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLAB CREW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID TO YOU THROUGH OUR PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Delaware.
